Terms of Service

Please read these Terms of Service carefully before using True Registrar's domain registration, hosting, and infrastructure services.

1 Definitions and Introduction

1.1 Agreement Overview

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you (the "Client", "Customer", "Registrant", "you") and True Registrar, statutory name PeaceWeb B.V., governing your access to and use of all services, features, content, and applications offered through our website and client portal (collectively, the "Services"). References to "True Registrar", "we", "us", or "our" refer to True Registrar, a brand of PeaceWeb B.V.

By accessing, browsing, or using the True Registrar platform, placing an order, or registering a domain name through our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Service Level Agreement, Data Processing Agreement, and any other policies referenced herein. If you do not agree to these Terms, you must immediately cease using our Services.

1.2 Definitions

The following definitions apply throughout this Agreement:

  • "Client" means any natural person or legal entity that enters into an Agreement with True Registrar for the provision of Services, including domain registration, hosting, VPS, SSL certificates, or any other service offered through the platform.
  • "Agreement" means these Terms of Service together with any order confirmations, service-specific terms, policies, and annexes referenced herein, which collectively form the contractual relationship between the Client and True Registrar.
  • "Services" means all products and services provided by True Registrar, including but not limited to domain name registration, DNS management, web hosting, Virtual Private Servers (VPS), SSL/TLS certificates, WHOIS privacy protection, and any related support and maintenance services.
  • "Domain Name" means an alphanumeric designation registered or to be registered in the Domain Name System (DNS) under a top-level domain (TLD), including generic TLDs (gTLDs such as .com, .net, .org) and country-code TLDs (ccTLDs such as .nl, .de, .uk).
  • "Registrar" means True Registrar (PeaceWeb B.V.), acting as an ICANN-accredited registrar or as a reseller through accredited registrar partners, facilitating the registration and management of domain names on behalf of Clients.
  • "Registry" means the organization responsible for maintaining the authoritative database of domain name registrations for a particular TLD, such as Verisign (for .com/.net), SIDN (for .nl), or any other applicable registry operator.
  • "ICANN" means the Internet Corporation for Assigned Names and Numbers, the global non-profit organization responsible for coordinating the maintenance and procedures of several databases related to the namespaces and numerical spaces of the Internet.
  • "Your Content" means all data, files, text, images, software, scripts, databases, and any other materials uploaded, stored, transmitted, or otherwise made available by the Client through the Services.
  • "Documentation" means all user guides, technical documentation, API documentation, knowledge base articles, and other instructional materials made available by True Registrar in connection with the Services.
  • "Business Day" means any day other than a Saturday, Sunday, or public holiday in the Netherlands.

2 Services

2.1 Domain Registration Services

True Registrar provides domain name registration services for a wide range of top-level domains, including generic TLDs (gTLDs) such as .com, .net, .org, .info, .biz, and new gTLDs, as well as country-code TLDs (ccTLDs) such as .nl, .de, .be, .uk, .eu, .fr, and many others. Domain registration is subject to availability and the specific policies of the applicable Registry operator. True Registrar acts as the registrar of record or as a reseller through accredited registrar partners, depending on the TLD.

2.2 DNS Management

We provide comprehensive DNS management services, including authoritative DNS hosting with global Anycast infrastructure, management of A, AAAA, CNAME, MX, TXT, SRV, CAA, and other DNS record types, DNSSEC (Domain Name System Security Extensions) support where available, DNS template management for bulk operations, and API access for programmatic DNS management.

2.3 Web Hosting

True Registrar offers shared web hosting services with varying resource allocations depending on the selected plan. Web hosting services include SSD-based storage, email hosting, database hosting (MySQL/MariaDB), PHP and other scripting language support, one-click application installers, and automated daily backups. Specific features, resource limits, and pricing are detailed on our website and in the applicable service description.

2.4 Virtual Private Servers (VPS)

Our VPS services provide dedicated virtual server resources including allocated CPU cores, RAM, NVMe SSD storage, and bandwidth. VPS instances are provisioned in European data centers and include full root/administrator access, a choice of operating systems, and optional managed support. VPS resources are dedicated to the Client and are not shared with other users.

2.5 SSL/TLS Certificates

True Registrar offers SSL/TLS certificates from trusted Certificate Authorities (CAs), including Domain Validation (DV), Organization Validation (OV), and Extended Validation (EV) certificates. We also provide wildcard certificates, multi-domain (SAN) certificates, and free Let's Encrypt certificates for hosting customers. Certificate issuance is subject to the validation requirements of the issuing Certificate Authority.

2.6 WHOIS Privacy Protection

Where permitted by the applicable Registry, True Registrar offers WHOIS privacy protection services that replace the Client's personal contact information in the public WHOIS/RDAP database with proxy contact details. WHOIS privacy does not affect the Client's ownership of the domain name and can be enabled or disabled at any time through the client portal.

3 Formation of Agreement and Account Responsibilities

3.1 Order Process

The Agreement between the Client and True Registrar is formed upon the earlier of: (a) the Client's completion of an order through the True Registrar website or client portal and receipt of an order confirmation from True Registrar; (b) the Client's first use of any Service; or (c) the Client's explicit acceptance of these Terms. All orders are subject to acceptance by True Registrar. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to orders that fail verification checks, violate these Terms, or are placed from restricted jurisdictions.

3.2 Account Creation and Maintenance

To use our Services, you must create an account and provide accurate, complete, and current information, including your full legal name or business name, a valid email address, physical address, telephone number, and any other information required during the registration process. You agree to promptly update your account information to maintain its accuracy. Inaccurate or outdated information may result in service disruption or account suspension.

You are solely responsible for maintaining the confidentiality of your account credentials, implementing appropriate security measures including strong passwords and two-factor authentication where available, and all activities that occur under your account. You must immediately notify True Registrar at security{{ $domain }} of any unauthorized access or security breach.

3.3 Identity Verification

True Registrar may require identity verification at any time, including during account registration, when placing high-value orders, when requesting sensitive account changes (such as ownership transfers), or when suspicious activity is detected. Verification may require submission of government-issued identification, business registration documents, proof of address, or other documentation as reasonably requested. Failure to complete verification within the requested timeframe may result in account suspension or order cancellation.

3.4 Sanctions Compliance and Country Restrictions

True Registrar is unable to provide services to individuals or entities located in, or residents of, certain countries due to international sanctions and export control regulations. Account registration and service provision are prohibited for the following countries and territories:

  • North Korea (DPRK) — UN Security Council Resolutions 1718, 2270, 2321, 2371, 2375, 2397; EU comprehensive sanctions
  • Iran (IR) — EU Council Regulation (EU) No 267/2012
  • Syria (SY) — EU Council Regulation (EU) No 36/2012
  • Cuba (CU) — EU restrictive measures; US comprehensive embargo
  • Russia (RU) — EU Council Regulation (EU) No 269/2014 (as amended since 2022)
  • Belarus (BY) — EU Council Regulation (EC) No 765/2006

These restrictions are based on the Dutch Sanctiewet 1977 (Netherlands Sanctions Act), the EU Common Foreign and Security Policy (CFSP), and applicable UN Security Council Resolutions. True Registrar reserves the right to update this list at any time to comply with applicable sanctions and export control regulations. Registrations from certain high-risk jurisdictions may require additional verification.

4 Domain Registration Terms

4.1 ICANN Compliance and Registration Agreement

For gTLD domain registrations, True Registrar operates in compliance with the ICANN Registrar Accreditation Agreement (RAA) and all applicable ICANN policies, including the Consensus Policies and Temporary Policies. By registering a gTLD domain name through True Registrar, the Client enters into a domain registration agreement that incorporates the ICANN Registration Rights and Responsibilities, available at icann.org. For ccTLD registrations, the terms and policies of the applicable ccTLD registry operator shall apply in addition to these Terms.

4.2 Uniform Domain-Name Dispute-Resolution Policy (UDRP)

All gTLD domain registrations are subject to the ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP). Under the UDRP, third parties may file complaints regarding domain names they believe were registered and are being used in bad faith, are identical or confusingly similar to a trademark or service mark in which the complainant has rights, and for which the registrant has no rights or legitimate interests. The Client agrees to submit to the mandatory administrative proceedings as set forth in the UDRP. True Registrar will comply with any decision rendered under the UDRP, including orders to transfer or cancel a domain name. For ccTLDs, equivalent dispute resolution policies of the applicable registry may apply.

4.3 Domain Transfer Policies

Domain transfers are subject to the following policies:

  • Auth-EPP Codes: Transfer authorization codes (Auth-EPP codes) are required for all inter-registrar transfers. Clients may request their Auth-EPP code at any time through the client portal or by contacting support. True Registrar will provide the Auth-EPP code within one (1) Business Day of a valid request.
  • 60-Day Transfer Lock: In accordance with ICANN policy, newly registered domain names and domain names that have been transferred between registrars are subject to a 60-day transfer lock period during which the domain cannot be transferred to another registrar. Changes to the registrant contact information may also trigger a 60-day transfer lock.
  • Transfer Approval: Incoming transfers require approval from the current registrar and the domain registrant. True Registrar will process transfer requests in accordance with ICANN's Inter-Registrar Transfer Policy (IRTP).

4.4 WHOIS/RDAP Data Publication

In accordance with ICANN requirements and applicable registry policies, certain registration data may be published in the WHOIS and RDAP (Registration Data Access Protocol) databases. Since the implementation of the GDPR-compliant ICANN Temporary Specification for gTLD Registration Data, personal data of natural persons located in the European Economic Area is redacted from public WHOIS output. True Registrar complies with all applicable data protection regulations regarding the publication of registration data. Clients may opt for WHOIS privacy protection where available to further limit the public disclosure of their contact information.

4.5 Registrant Rights and Responsibilities

As a domain name registrant, the Client has the right to use the registered domain name for the duration of the registration period, transfer the domain to another registrar subject to applicable transfer policies, renew the domain name registration prior to expiration, and update contact and DNS information through the client portal. The Client is responsible for ensuring that all registration data is accurate and up to date, renewing domain registrations before expiration, complying with all applicable registry policies, and using the domain name in compliance with applicable laws and these Terms.

4.6 Renewal, Auto-Renewal, and Grace Periods

Domain name registrations are valid for the period selected at the time of registration (typically one to ten years). True Registrar will send renewal reminders via email at 60 days, 30 days, 14 days, and 1 day before the expiration date. Unless auto-renewal is disabled by the Client, domain names will be automatically renewed upon expiration and the applicable renewal fee will be charged to the Client's payment method on file.

The following grace periods apply to domain registrations (exact durations may vary by TLD and are subject to the applicable registry's policies):

  • Add Grace Period (AGP): A period of up to 5 days following initial registration during which the registration may be cancelled and the registration fee refunded (minus any applicable ICANN fees). This period is subject to registry availability and anti-abuse policies.
  • Renewal Grace Period (RGP — Auto-Renew): A period following automatic renewal during which the renewal may be reversed if the Client did not intend to renew. Duration varies by TLD (typically 0–45 days).
  • Redemption Grace Period: After a domain expires and is deleted by the registry, a redemption grace period of approximately 30 days may apply during which the domain can be restored for an additional redemption fee. Redemption fees are significantly higher than standard renewal fees and vary by TLD.

4.7 Domain Disputes and Registry Policies

True Registrar is obligated to comply with decisions rendered under the UDRP, the Uniform Rapid Suspension System (URS), and any other applicable dispute resolution policies. In the event of a domain dispute, True Registrar may be required to lock the domain name to prevent transfers during the dispute proceedings, implement decisions to transfer or cancel domain names as ordered by a dispute resolution provider or court of competent jurisdiction, and provide registration data to dispute resolution providers as required. The Client acknowledges that True Registrar acts as a neutral party in domain disputes and is not responsible for the outcome of any dispute resolution proceedings.

5 Acceptable Use Policy

5.1 General Conduct

The Client agrees to use the Services in a lawful, ethical, and responsible manner. The Client shall not use the Services for any purpose that is illegal, harmful, or in violation of these Terms. True Registrar reserves the right to suspend or terminate Services immediately if the Client engages in any prohibited activity.

5.2 Prohibited Activities

The following activities are strictly prohibited when using True Registrar Services:

  • Illegal Activity: Hosting, distributing, or facilitating content or activities that violate applicable Dutch, European Union, or international law, including but not limited to child sexual abuse material (CSAM), terrorism-related content, illegal gambling, or unauthorized sale of controlled substances.
  • Spam and Unsolicited Communications: Sending unsolicited bulk email (spam), operating open mail relays, engaging in email harvesting, or any activity that violates the EU ePrivacy Directive (2002/58/EC) or applicable anti-spam legislation.
  • Malware and Malicious Software: Hosting, distributing, or facilitating the distribution of viruses, trojans, ransomware, spyware, adware, or any other malicious software or code.
  • Network Abuse: Conducting denial-of-service (DoS/DDoS) attacks, port scanning, packet sniffing, IP spoofing, or any other activity that disrupts or degrades network performance or the services of others.
  • Intellectual Property and GDPR Violations: Infringing upon the intellectual property rights of third parties, including copyright, trademark, and patent infringement. Processing personal data in violation of the General Data Protection Regulation (GDPR — Regulation (EU) 2016/679) or other applicable data protection laws.
  • Resource Abuse: Consuming excessive server resources in a manner that negatively impacts other users on shared infrastructure, including but not limited to cryptocurrency mining, running resource-intensive background processes, or exceeding allocated resource limits.
  • Phishing and Fraud: Operating phishing websites, engaging in identity theft, credit card fraud, financial fraud, or any other deceptive practices designed to obtain sensitive information from third parties.
  • Domain Squatting and Cybersquatting: Registering domain names in bad faith with the intent to profit from the goodwill of a trademark belonging to someone else, registering domain names that are identical or confusingly similar to well-known trademarks without a legitimate interest, or engaging in any form of abusive domain registration practices as defined by ICANN policies.

5.3 Enforcement

True Registrar reserves the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including issuing warnings, suspending or terminating Services, removing content, reporting violations to law enforcement authorities, and cooperating with law enforcement investigations. True Registrar may act upon complaints from third parties, abuse reports, or its own monitoring activities.

6 Fees, Payment, and Invoicing

6.1 Currency and Pricing

All prices are quoted and invoiced in Euros (EUR). Prices displayed on the True Registrar website are exclusive of Value Added Tax (VAT) unless explicitly stated otherwise. True Registrar reserves the right to modify pricing at any time, provided that price changes for existing services will take effect at the next renewal period and the Client will be notified at least thirty (30) days in advance.

6.2 Value Added Tax (VAT)

VAT is applied in accordance with the EU VAT Directive 2006/112/EC and Dutch VAT legislation (Wet op de omzetbelasting 1968). For Clients located in the Netherlands, Dutch VAT at the standard rate will be applied. For business Clients located in other EU member states who provide a valid VAT identification number, the reverse charge mechanism applies and no VAT will be charged. For Clients located outside the European Union, no VAT will be charged. True Registrar will verify VAT identification numbers through the EU VIES system.

6.3 Billing Cycles and Payment Terms

Services are billed according to the billing cycle selected by the Client (monthly, quarterly, semi-annually, annually, or multi-year for domain registrations). Invoices are generated automatically and payment is due within fourteen (14) days of the invoice date unless otherwise agreed in writing. Domain registration fees are due immediately upon order placement and must be paid before the registration is processed.

6.4 Payment Methods

True Registrar accepts payment via credit card (Visa, Mastercard, American Express), iDEAL, Bancontact, SEPA direct debit, bank transfer, and other payment methods as made available through the client portal. The Client is responsible for ensuring that their payment method is valid and has sufficient funds to cover all charges.

6.5 Auto-Renewal for Domains

Domain name registrations are set to auto-renew by default. The applicable renewal fee will be charged to the Client's payment method on file prior to the domain's expiration date. The Client may disable auto-renewal at any time through the client portal. If auto-renewal is disabled and the Client does not manually renew the domain before expiration, the domain may expire and become available for registration by third parties, subject to applicable grace periods as described in Section 4.6.

6.6 Refund Policy

Domain name registration fees are generally non-refundable after the domain has been registered, in accordance with ICANN policy and registry requirements. Refunds may be available during the Add Grace Period (AGP) as described in Section 4.6, subject to registry availability. For hosting and VPS services, refund requests may be submitted within fourteen (14) days of the initial purchase in accordance with the EU Consumer Rights Directive (2011/83/EU), provided that the Client has not substantially used the service. SSL certificate fees are non-refundable once the certificate has been issued. True Registrar reserves the right to evaluate refund requests on a case-by-case basis.

6.7 Late Payment and Collections

If payment is not received within the fourteen (14) day payment term, True Registrar may charge statutory commercial interest (wettelijke handelsrente) as defined in Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek). True Registrar will send payment reminders at 7 days and 14 days past due. If payment remains outstanding after 30 days, True Registrar may suspend the affected Services. If payment remains outstanding after 60 days, True Registrar may terminate the affected Services and refer the outstanding debt to a collections agency. All reasonable collection costs, including extrajudicial collection costs as defined in the Dutch Decree on Extrajudicial Collection Costs (Besluit vergoeding voor buitengerechtelijke incassokosten), shall be borne by the Client.

6.8 Chargebacks

If the Client initiates a chargeback or payment dispute with their bank or payment provider without first contacting True Registrar to resolve the issue, True Registrar reserves the right to immediately suspend all Services associated with the Client's account, charge an administrative fee of €25.00 per chargeback to cover processing costs, and pursue recovery of the disputed amount plus administrative fees. The Client agrees to contact True Registrar's billing department at billing{{ $domain }} before initiating any chargeback or payment dispute.

Billing Entity Notice

All charges will appear on your bank or credit card statement as PeaceWeb Operating Group (or abbreviated forms such as PEACEWEB OPERAT GROUP or PEACEWEBOG). For more information, see our Billing Entity page.

7 Data, Content, and Intellectual Property

7.1 Client Data Ownership

The Client retains all ownership rights to Your Content uploaded, stored, or transmitted through the Services. True Registrar does not claim any ownership interest in Your Content. By using the Services, the Client grants True Registrar a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Services. This license terminates upon termination of the Agreement.

7.2 GDPR Compliance and Data Processing

True Registrar processes personal data in accordance with the General Data Protection Regulation (GDPR — Regulation (EU) 2016/679) and the Dutch Implementation Act for the GDPR (Uitvoeringswet AVG). Where True Registrar processes personal data on behalf of the Client (as a data processor), the parties shall enter into a Data Processing Agreement (DPA) in accordance with Article 28 of the GDPR. The DPA is available at trueregistrar.com/legal/dpa and forms an integral part of this Agreement. 7.3 Data Storage and EU Data Centers

All Client data is stored in data centers located within the European Union. True Registrar does not transfer Client data outside the European Economic Area (EEA) unless required to do so for the provision of specific Services (such as domain registration with non-EU registries) and only in compliance with GDPR Chapter V requirements for international data transfers.

7.4 Backups

True Registrar performs automated daily backups of hosting and VPS data as a courtesy service. Backups are retained for a period specified in the applicable service description. While True Registrar takes reasonable measures to ensure the integrity and availability of backups, the Client is solely responsible for maintaining independent backups of all critical data. True Registrar shall not be liable for any data loss resulting from backup failures, corruption, or the Client's failure to maintain independent backups.

8 Service-Specific Terms

8.1 Domain-Specific Terms

In addition to the domain registration terms set forth in Section 4, the following specific terms apply:

  • Registration Accuracy: The Client warrants that all information provided during domain registration is accurate, complete, and not misleading. Providing false or inaccurate registration data (commonly known as "false WHOIS") is a violation of ICANN policy and may result in domain suspension or cancellation.
  • WHOIS Obligations: The Client agrees to respond promptly to WHOIS data accuracy inquiries from True Registrar or ICANN. Failure to respond to a WHOIS accuracy inquiry within fifteen (15) days may result in domain suspension.
  • Transfer Procedures: The Client may initiate an outbound transfer at any time (subject to the 60-day lock described in Section 4.3). True Registrar will not impose unreasonable barriers to domain transfers and will process transfer requests in accordance with ICANN's Inter-Registrar Transfer Policy.

8.2 Hosting-Specific Terms

The following terms apply specifically to web hosting services:

  • Resource Limits: Shared hosting plans are subject to resource limits as specified in the applicable plan description, including disk space, bandwidth, email accounts, databases, and concurrent connections. True Registrar may suspend or throttle accounts that consistently exceed their allocated resources or negatively impact other users on the shared infrastructure.
  • Content Restrictions: Hosting services may not be used to host content that violates the Acceptable Use Policy (Section 5), infringes upon third-party intellectual property rights, or is otherwise prohibited by applicable law. True Registrar reserves the right to remove or disable access to content that violates these restrictions.
  • Server-Side Software: The Client may only install and run software that is compatible with the hosting environment and does not pose a security risk. True Registrar reserves the right to disable or remove software that compromises server security or stability.

8.3 VPS-Specific Terms

The following terms apply specifically to Virtual Private Server (VPS) services:

  • Root Access and Management: VPS services provide the Client with full root (Linux) or administrator (Windows) access. The Client is solely responsible for the configuration, security, maintenance, and management of their VPS, including operating system updates, security patches, firewall configuration, and application management.
  • Management Responsibility: Unless the Client has purchased a managed VPS plan, True Registrar is not responsible for server administration, software installation, security hardening, or troubleshooting of the Client's VPS environment. True Registrar's responsibility is limited to the underlying hardware infrastructure, network connectivity, and hypervisor layer.
  • Resource Allocation: VPS resources (CPU, RAM, storage, bandwidth) are dedicated to the Client as specified in the selected plan. The Client may upgrade or downgrade their VPS plan at any time through the client portal, subject to resource availability.

8.4 SSL Certificate-Specific Terms

The following terms apply specifically to SSL/TLS certificate services:

  • Validation Requirements: SSL certificate issuance is subject to the validation requirements of the issuing Certificate Authority (CA). Domain Validation (DV) certificates require proof of domain control. Organization Validation (OV) certificates require verification of the organization's legal existence and identity. Extended Validation (EV) certificates require extensive verification of the organization's legal, physical, and operational existence.
  • Certificate Lifecycle: SSL certificates are valid for the period specified at the time of purchase (typically one year). The Client is responsible for renewing certificates before expiration. True Registrar will send renewal reminders but is not responsible for service disruptions caused by expired certificates. Certificate revocation may occur if the private key is compromised, the certificate was issued based on inaccurate information, or the CA's policies require revocation.
  • Installation: The Client is responsible for the proper installation and configuration of SSL certificates on their server or hosting environment. True Registrar provides installation support for certificates used on True Registrar hosting and VPS services.

9 Intellectual Property

9.1 True Registrar Intellectual Property

All intellectual property rights in and to the True Registrar platform, website, client portal, APIs, documentation, trademarks, logos, trade names, and all related technology, software, and content (collectively, "True Registrar IP") are and shall remain the exclusive property of PeaceWeb B.V. or its licensors. Nothing in this Agreement grants the Client any ownership interest in True Registrar IP. The Client shall not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on True Registrar IP without prior written consent.

9.2 Client Intellectual Property

The Client retains all intellectual property rights in and to Your Content and any materials provided by the Client in connection with the Services. True Registrar does not acquire any intellectual property rights in the Client's materials by virtue of this Agreement.

9.3 Limited License

Subject to the Client's compliance with this Agreement, True Registrar grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Services and associated Documentation for the Client's internal business purposes during the term of the Agreement. This license does not include the right to sublicense, resell, or redistribute the Services to third parties without True Registrar's prior written consent, except where the Client is using hosting or VPS services to serve content to their own end users in the ordinary course of business.

10 Confidentiality

10.1 Mutual Confidentiality Obligations

Each party (the "Receiving Party") agrees to hold in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes, without limitation, business plans, technical data, product plans, pricing, customer lists, financial information, and any other proprietary information.

10.2 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure without restriction on disclosure; (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without restriction on disclosure. Additionally, a party may disclose Confidential Information to the extent required by law, regulation, or court order, provided that the Receiving Party gives the Disclosing Party prompt written notice (where legally permitted) and reasonable assistance to contest or limit the disclosure.

10.3 Duration

The confidentiality obligations set forth in this Section shall survive the termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall remain confidential for as long as they qualify as trade secrets under applicable law.

11 Warranties, Disclaimers, and Service Levels

11.1 Service Level Agreement

True Registrar's service level commitments, including uptime guarantees and service credit policies, are set forth in our Service Level Agreement (SLA), available at trueregistrar.com/legal/sla. The SLA forms an integral part of this Agreement. In the event of a conflict between the SLA and these Terms, the SLA shall prevail with respect to service level commitments.

11.2 No Guarantee of Uninterrupted Service

While True Registrar strives to provide reliable and continuous Services, we do not guarantee that the Services will be uninterrupted, error-free, or free from security vulnerabilities. The Services may be temporarily unavailable due to scheduled maintenance (which will be announced in advance where practicable), emergency maintenance required to address security vulnerabilities or critical issues, factors beyond True Registrar's reasonable control (see Section 15 — Force Majeure), or third-party service disruptions affecting upstream providers, registries, or certificate authorities.

11.3 Domain Availability Disclaimer

True Registrar does not guarantee the availability of any specific domain name. Domain name availability is determined by the applicable registry at the time of registration and may change at any time. A domain name that appears available during a search may become unavailable before the registration is completed. True Registrar is not liable for any failure to register a domain name due to prior registration by a third party, registry restrictions, or technical issues at the registry level.

11.4 General Disclaimer

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. True Registrar does not warrant that the Services will meet the Client's specific requirements or expectations.

12 Limitation of Liability

12.1 Liability Cap

To the maximum extent permitted by applicable law, True Registrar's total aggregate liability arising out of or in connection with this Agreement, whether in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the lower of: (a) the total fees paid by the Client to True Registrar during the three (3) months immediately preceding the event giving rise to the claim; or (b) two thousand five hundred Euros (€2,500) per calendar year. In no event shall True Registrar's cumulative liability exceed ten thousand Euros (€10,000) over the lifetime of the Agreement.

12.2 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, True Registrar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, loss of goodwill, business interruption, or cost of procurement of substitute services, regardless of the cause of action or the theory of liability, even if True Registrar has been advised of the possibility of such damages.

12.3 Claim Deadline and Limitation Period

The Client must notify True Registrar in writing of any claim arising out of or in connection with this Agreement within fourteen (14) days of the date on which the Client became aware, or reasonably should have become aware, of the event giving rise to the claim. Failure to provide timely notice shall result in the forfeiture of the claim. In any event, all claims arising out of or in connection with this Agreement must be brought within three (3) months of the event giving rise to the claim, after which the claim shall be time-barred. These limitation periods are agreed upon in accordance with Article 3:322 of the Dutch Civil Code (Burgerlijk Wetboek).

12.4 Exceptions

Nothing in this Section shall limit liability for damages caused by willful misconduct (opzet) or gross negligence (grove schuld) on the part of True Registrar's management, death or personal injury caused by True Registrar's negligence, or any other liability that cannot be excluded or limited under applicable Dutch law.

13 Comprehensive Client Indemnification

13.1 Indemnification Obligations

The Client agrees to indemnify, defend, and hold harmless True Registrar, PeaceWeb B.V., and their respective directors, officers, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

  • Content Liability: Any claims related to Your Content, including but not limited to claims of defamation, invasion of privacy, intellectual property infringement, or violation of applicable law arising from content hosted, stored, or transmitted through the Services.
  • Domain Name Use: Any claims arising from the Client's registration, use, or misuse of domain names, including claims of trademark infringement, unfair competition, or cybersquatting.
  • Trademark Infringement: Any claims that the Client's domain name, content, or use of the Services infringes upon the intellectual property rights of any third party.
  • UDRP Proceedings: Any costs, fees, or damages arising from UDRP or other domain dispute resolution proceedings initiated against the Client's domain names, including the costs of True Registrar's compliance with dispute resolution decisions.
  • Breaches: Any claims arising from the Client's breach of this Agreement, including violations of the Acceptable Use Policy, failure to comply with applicable laws, or unauthorized use of the Services.

13.2 Indemnification Procedure

True Registrar will promptly notify the Client of any claim subject to indemnification and will provide reasonable cooperation in the defense of such claim. The Client shall have the right to control the defense and settlement of any such claim, provided that the Client may not settle any claim in a manner that adversely affects True Registrar's rights or imposes obligations on True Registrar without True Registrar's prior written consent.

14 Suspension, Termination, and Duration

14.1 Suspension Rights

True Registrar may suspend the Client's access to all or part of the Services, with or without prior notice, in the following circumstances: (a) the Client breaches any provision of this Agreement, including the Acceptable Use Policy; (b) the Client fails to pay any fees when due; (c) True Registrar receives a valid legal order, court order, or law enforcement request requiring suspension; (d) True Registrar reasonably believes that the Client's use of the Services poses a security risk to the infrastructure or other users; (e) the Client's account is subject to a domain dispute, fraud investigation, or sanctions screening; or (f) suspension is necessary to comply with applicable law or regulation.

Where practicable, True Registrar will provide the Client with prior notice and an opportunity to cure the breach before suspension. In cases of imminent security threats, legal requirements, or serious policy violations, True Registrar may suspend Services immediately without prior notice.

14.2 Termination by Either Party

Either party may terminate this Agreement as follows:

  • Termination by the Client: The Client may terminate the Agreement at any time by cancelling all active Services through the client portal or by providing written notice to True Registrar. Cancellation will take effect at the end of the current billing period. Pre-paid fees for the remaining billing period are non-refundable unless otherwise specified in these Terms.
  • Termination by True Registrar: True Registrar may terminate the Agreement immediately upon written notice if the Client materially breaches this Agreement and fails to cure such breach within fourteen (14) days of receiving written notice, the Client fails to pay any fees within thirty (30) days of the due date, the Client engages in activities that pose an imminent security risk or violate applicable law, or the Client becomes insolvent, files for bankruptcy, or is subject to liquidation proceedings.

14.3 Post-Termination: Content Deletion

Upon termination of the Agreement, True Registrar will retain the Client's data for a period of thirty (30) days to allow the Client to export or retrieve their data. After this 30-day period, True Registrar will permanently delete all Client data from its systems, except where retention is required by applicable law or regulation. The Client is solely responsible for exporting their data before the expiration of the 30-day retention period.

14.4 Domain Transfer Out Rights

Upon termination of the Agreement, the Client retains the right to transfer their domain names to another registrar, subject to the following conditions: all outstanding fees must be paid in full, the domain must not be subject to a 60-day transfer lock, the domain must not be subject to an active dispute resolution proceeding, and the Client must request the Auth-EPP code within the 30-day post-termination retention period. True Registrar will provide Auth-EPP codes and facilitate outbound transfers in accordance with ICANN's Inter-Registrar Transfer Policy.

15 Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond the party's reasonable control ("Force Majeure Event"). Force Majeure Events include, but are not limited to: natural disasters (earthquakes, floods, hurricanes, volcanic eruptions), acts of war, armed conflict, terrorism, or civil unrest, epidemics, pandemics, or public health emergencies, government actions, sanctions, embargoes, or regulatory changes, power outages, telecommunications failures, or internet disruptions not caused by the affected party, cyberattacks (including DDoS attacks) of unprecedented scale, labor disputes, strikes, or shortages of materials, and failures or disruptions of third-party services, including domain registries, certificate authorities, or upstream network providers.

The affected party shall promptly notify the other party of the Force Majeure Event and use reasonable efforts to mitigate its impact. If a Force Majeure Event continues for more than sixty (60) consecutive days, either party may terminate the affected Services upon written notice without liability.

16 Changes to These Terms

16.1 Modification Rights

True Registrar reserves the right to modify, amend, or update these Terms at any time. We will provide the Client with at least thirty (30) days' advance written notice of any material changes by email to the Client's registered email address and by posting the updated Terms on our website with a revised "Last Updated" date. Non-material changes (such as typographical corrections or clarifications that do not alter the substance of the Terms) may be made without prior notice.

16.2 Right to Terminate

If the Client does not agree with the modified Terms, the Client may terminate the Agreement by providing written notice to True Registrar before the effective date of the changes. In such case, the previous version of the Terms shall continue to apply until the end of the Client's current billing period, after which the Agreement will terminate. The Client's continued use of the Services after the effective date of the modified Terms constitutes acceptance of the updated Terms.

17 Governing Law and Dispute Resolution

17.1 Governing Law

This Agreement and any disputes arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded and shall not apply to this Agreement.

17.2 Jurisdiction

Any legal action or proceeding arising out of or in connection with this Agreement shall be brought exclusively before the competent courts of the Rechtbank Oost-Brabant, located in 's-Hertogenbosch, Netherlands. Both parties irrevocably consent to the exclusive jurisdiction and venue of such courts. This choice of jurisdiction does not affect the rights of consumers to bring proceedings in the courts of their habitual residence as provided by applicable EU consumer protection legislation.

17.3 Good Faith Negotiation

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute arising out of or in connection with this Agreement through good-faith negotiation for a period of at least thirty (30) days. Either party may initiate the negotiation process by sending a written notice describing the dispute to the other party. If the dispute cannot be resolved through negotiation within the 30-day period, either party may proceed with formal legal proceedings as set forth in Section 17.2.

18 General Provisions

18.1 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent and economic effect of the invalid provision.

18.2 Waiver

No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall constitute a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy, or the exercise of any other right, power, or remedy. A waiver of any right, power, or remedy must be in writing and signed by the waiving party to be effective.

18.3 Assignment

The Client may not assign or transfer this Agreement or any rights or obligations hereunder without True Registrar's prior written consent. True Registrar may assign this Agreement, in whole or in part, without the Client's consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this Section shall be null and void.

18.4 Entire Agreement

This Agreement, together with the Privacy Policy, Service Level Agreement, Data Processing Agreement, and any other policies and annexes referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations, warranties, and understandings between the parties. In the event of a conflict between these Terms and any service-specific terms or policies, the service-specific terms shall prevail to the extent of the conflict.

18.5 No Third-Party Beneficiaries

This Agreement is entered into solely between the Client and True Registrar. Nothing in this Agreement is intended to or shall confer any rights, benefits, or remedies upon any third party, except as expressly provided herein. No third party shall have any right to enforce any provision of this Agreement.

18.6 Language

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict between the English version and any translation, the English version shall prevail.
